An audit draft is the set of draft financial statements and working papers a company hands to its auditor before the audit starts. In the UAE it is built from the trial balance and ledgers under IFRS. A clean draft shortens the audit, and most of the mechanical work in preparing one can now be done with AI under an accountant’s review.
Key takeaways
- Preparing the financial statements is the company’s job. The auditor’s job is to test them and give an opinion.
- A full draft pack has the financial statements, the notes, working papers that tie every figure to the ledger, and a list of the documents the auditor will ask for.
- For UAE corporate tax, audited financial statements are required when revenue exceeds AED 50 million, for every Qualifying Free Zone Person, and for tax groups in a special purpose form.
- IFRS is the accounting standard for UAE corporate tax. Businesses with revenue up to AED 50 million may use IFRS for SMEs.
- AI is good at mapping, schedules and cross-checks. Judgment, estimates and sign-off stay with people.

What is an audit draft?
It is the version of your financial statements that exists before the auditor has tested anything. Your accountant closes the books, produces a trial balance, and turns it into statements, notes and supporting schedules. The auditor then checks that pack against evidence and issues the audit report.
The quality of the draft decides how the audit goes. If every number traces back to a ledger and the documents are ready, the auditor asks fewer questions and finishes sooner. If the draft arrives late or does not tie up, the audit turns into weeks of back-and-forth.
What does an audit draft pack include?
Six parts. The first four are the financial statements themselves, and the last two are what make them easy to audit.
| Part | What it shows | Built from |
|---|---|---|
| Statement of financial position | Assets, liabilities and equity at the year end | Trial balance mapped to line items |
| Statement of comprehensive income | Revenue, costs and profit for the year | Trial balance mapped to line items |
| Changes in equity and cash flows | How equity and cash moved during the year | Trial balance, ledgers and last year’s figures |
| Notes | Accounting policies and breakdowns such as fixed assets, receivables, payables, related parties and share capital | Ledgers, registers, trade licence and Memorandum of Association |
| Working papers | One schedule per account area, tying each figure to the ledger | General ledger and sub-ledgers |
| List of audit requirements | The documents the auditor will ask for, account by account | The draft itself and the auditor’s usual requests |
Who needs audited financial statements in the UAE?
More companies than many owners expect. Under Ministerial Decision No. 84 of 2025, which applies to tax periods starting on or after 1 January 2025, the corporate tax rules require audited financial statements from:
- a taxable person that is not a tax group and has revenue above AED 50 million in the tax period,
- every Qualifying Free Zone Person, whatever its revenue, and
- tax groups, which must prepare audited special purpose financial statements.
For how UAE firms are turning this drafting work into reusable instructions their whole team follows, see Claude Skills for accounting and audit teams in the UAE.
Corporate tax is not the only reason. Many free zones ask for audited accounts every year under their own rules, and banks, investors and shareholders often ask for them too. Check the rules of your own free zone and licensing authority, because they differ. We go through all four reasons, with the free zone deadlines, in who needs audited financial statements in the UAE.
Which accounting standard applies?
IFRS. The Ministry of Finance confirmed in Ministerial Decision No. 114 of 2023 that International Financial Reporting Standards are the applicable standards for corporate tax. Businesses with revenue of no more than AED 50 million may choose IFRS for SMEs, and businesses with revenue below AED 3 million may use the cash basis of accounting.
Where does the time go, and where does AI help?
Most of the hours in a draft go into mechanical work: mapping accounts, building schedules, checking that totals agree, formatting. That is the part AI does well. The part that needs a qualified person has not changed.
| Step | What AI can do | What a person must do |
|---|---|---|
| Map trial balance accounts to line items | Suggest the mapping and apply it the same way every year | Approve the mapping and fix unusual accounts |
| Build schedules from the ledgers | Produce a schedule for each account area with ledger references | Review balances that look wrong |
| Cast and cross-check | Keep totals as formulas and flag any figure that does not agree | Resolve the differences |
| Draft the notes | Fill a standard template from the licence, the Memorandum of Association and the ledgers | Decide the accounting policies and disclosures |
| List of audit requirements | Generate the document list from the draft | Agree it with the auditor |
| Estimates and judgments | None | Provisions, impairment, going concern and revenue recognition |
| Audit opinion | None | A licensed auditor only |
What should you have ready before you start?
- The year-end trial balance and the general ledger, exported from your accounting system
- Last year’s audited financial statements
- Trade licence and Memorandum of Association
- Bank statements for every account, for the full year
- VAT returns and corporate tax registration details
- Fixed asset register, and the stock count if you hold inventory
- Payroll records and end-of-service calculations
- A list of related parties and the balances with each of them
What are the limits?
Three things. First, a draft is not an audit. Nobody should present AI-prepared statements as audited. Second, every figure must trace to a ledger. A tool that produces a tidy statement without a trail creates work for the auditor instead of saving it. Third, the data is confidential. Use a business plan with model training switched off by default, not a personal account, and keep client files inside the workspace your firm controls. Our guide on setting up Claude for a company covers the plans and the data rules.
How Virtuloom helps
We work in two ways. For a company, we prepare the audit draft pack from your trial balance and ledgers: the working file with formulas, the draft financial statements and the list of audit requirements, ready for your accountant and auditor to review. For an accounting or audit firm, we set up Claude with skills built around your own formats, so your team produces drafts the same way every time. We do this for clients in the UAE and for teams in Saudi Arabia.
Virtuloom is not an audit firm and does not issue audit opinions. The draft is prepared for review by a qualified accountant and for audit by your licensed auditor. If your process needs more than a draft, we also build custom accounting workflows and AI agents around it.

Frequently asked questions
What is an audit draft?
An audit draft is the draft financial statements, notes and working papers a company prepares before its audit. The auditor tests this pack against evidence and then issues the audit report. A complete, well-referenced draft makes the audit faster and reduces the number of queries.
Is an audit mandatory for every company in the UAE?
Not under the corporate tax rules. Ministerial Decision No. 84 of 2025 requires audited statements when revenue exceeds AED 50 million, for every Qualifying Free Zone Person and for tax groups. Free zones, banks and shareholders may still require an audit, so check your own licensing authority.
Can AI prepare financial statements?
AI can do the mechanical parts well: mapping the trial balance, building schedules, checking totals and drafting standard notes. It cannot make accounting judgments or give an audit opinion. A qualified accountant must review the draft, and a licensed auditor must audit it.
How is an audit draft different from audited financial statements?
The draft is prepared by the company or its accountant and has not been tested. Audited financial statements are the final version after the auditor has examined the evidence, agreed any adjustments and attached the audit report.
What do you need from us to prepare a draft?
The year-end trial balance, the general ledger, last year’s audited statements, the trade licence and the Memorandum of Association. Bank statements, VAT returns, the fixed asset register and payroll records are needed for the working papers and the list of audit requirements.
Does Virtuloom issue the audit report?
No. Virtuloom prepares the draft pack and sets up the workflow. The audit report can only come from a licensed auditor, who reviews the draft independently.
